Terms of service
These Terms of Service (the "Terms") set forth the conditions governing the use of the online store operated by TOKYO POWDER LLC (the "Company") (the "Store"). By using the Store, customers agree to be bound by these Terms.
Article 1 (Application)
These Terms shall apply to all matters relating to the use of the Store and to any sale of products or other transactions between the Company and customers.
Any shopping guides, shipping and return policies, and other rules or conditions posted on the Store shall constitute part of these Terms.
In the event of any conflict between these Terms and any separately stated conditions, the separately stated conditions shall prevail unless otherwise specified.
Article 2 (Orders and Formation of Sales Contracts)
Customers may place orders for products through the methods specified by the Store.
A sales contract between the Company and the customer shall be deemed to have been formed when the Company accepts the customer's order.
Even after an order has been received, the Company may be unable to provide all or part of the ordered products due to inventory availability, production circumstances, or other reasons.
The Company may refuse to accept an order, or cancel all or part of a sales contract after it has been formed, if the Company determines that any of the following applies:
- The order details or customer information contain false, incorrect, or incomplete information.
- Payment is not successfully completed or there is a possibility of fraudulent payment.
- The quantity or frequency of orders significantly exceeds the scope of normal personal use.
- The order is deemed to be intended for resale, commercial purposes, overseas forwarding, or export.
- Multiple orders from the same person, delivery address, or other related information are deemed inappropriate by the Company.
- The customer has previously violated these Terms or has had other transaction-related issues with the Company.
- The Company otherwise determines that accepting the order would be inappropriate.
Article 3 (Resale, Overseas Forwarding, and Export)
Products sold through the Store are intended for personal use by customers within Japan.
Customers may not purchase products for resale, other commercial purposes, overseas forwarding, or export without the prior approval of the Company.
If the Company determines, based on the quantity purchased, order frequency, delivery address, or other order information, that an order falls under the preceding paragraph or exceeds the scope of normal personal use, the Company may cancel all or part of the order without prior notice.
Article 4 (Prices and Payment)
Product prices shall be the prices displayed on the Store. Shipping fees and any other applicable charges shall be specified on the Store or in the Legal Notice based on the Act on Specified Commercial Transactions.
Customers shall pay for products using one of the payment methods made available and designated by the Company through the Store.
The terms and conditions of the relevant payment service provider may also apply to the use of certain payment methods.
Article 5 (Shipping)
The Company will ship products to the delivery address within Japan specified by the customer at the time of ordering.
Customers are responsible for accurately entering all information required for delivery, including their name, postal code, address, building name, and other necessary details.
If delivery cannot be completed due to an incorrect or incomplete address, refusal to accept delivery, prolonged absence, or other circumstances attributable to the customer, the customer may be required to bear any additional costs incurred for redelivery or related handling.
Shipment or delivery may be delayed due to weather conditions, natural disasters, transportation conditions, carrier circumstances, production or inventory conditions, or other circumstances reasonably beyond the Company's control.
Article 6 (Returns, Exchanges, and Cancellations)
Returns, exchanges, and cancellations after an order has been placed shall be handled in accordance with the Store's Return and Refund Policy and the Legal Notice based on the Act on Specified Commercial Transactions.
If a product is defective, damaged, or incorrectly delivered, customers should contact the Company using the method specified on the Store.
Article 7 (Prohibited Conduct)
Customers shall not engage in any of the following activities when using the Store:
- Any act that violates applicable laws or public order and morals.
- Any act related to criminal or fraudulent activity.
- Placing an order using false information.
- Using the Store while impersonating another person.
- Using fraudulent or unauthorized payment methods.
- Purchasing products for resale or other commercial purposes without the prior approval of the Company.
- Purchasing products for overseas forwarding or export without the prior approval of the Company.
- Splitting orders or using multiple names, accounts, addresses, or other information for the purpose of circumventing quantity limits or other purchasing restrictions established by the Company.
- Infringing the rights or interests of the Company, other customers, or third parties.
- Interfering with, or engaging in conduct that may interfere with, the operation of the Store.
- Gaining or attempting to gain unauthorized access to the Store or the Company's systems.
- Infringing copyrights, trademarks, or other intellectual property rights contained in the Store.
- Directly or indirectly providing benefits to antisocial forces.
- Any other conduct that the Company determines to be inappropriate.
Article 8 (Restrictions on Use)
If a customer violates these Terms, or if the Company otherwise determines that the customer's use of the Store is inappropriate, the Company may, without prior notice, cancel orders, restrict the customer's use of the Store, or take any other measures deemed necessary.
The Company may take such measures even where different names, email addresses, delivery addresses, or other information are used, if multiple orders are reasonably determined to have been placed by the same customer or related parties.
Article 9 (Intellectual Property Rights)
All copyrights, trademarks, and other intellectual property rights relating to text, images, photographs, logos, designs, trademarks, and other content displayed on the Store belong to the Company or to third parties holding legitimate rights.
Customers may not use, reproduce, republish, modify, or otherwise exploit such content beyond the scope permitted by law without the permission of the Company or the relevant rights holder.
Article 10 (Changes, Suspension, or Discontinuation of the Store)
The Company may change, suspend, or discontinue all or part of the Store without prior notice when necessary due to system maintenance, technical failures, disasters, or other circumstances.
Article 11 (Disclaimer)
The Company will make reasonable efforts to provide accurate information on the Store but does not guarantee the completeness, accuracy, usefulness, or other qualities of such information.
To the extent permitted by applicable law, the Company shall not be liable for damages incurred by customers due to communication failures, system failures, delivery delays, natural disasters, or other circumstances not attributable to the Company.
Notwithstanding any provision of these Terms, where applicable consumer protection laws or other laws do not permit the Company's liability to be excluded or limited, such applicable laws shall prevail.
Article 12 (Handling of Personal Information)
The Company shall appropriately handle personal information obtained through the use of the Store in accordance with the Company's Privacy Policy.
Article 13 (Changes to These Terms)
The Company may revise these Terms as necessary in accordance with applicable laws.
The revised Terms shall become effective when posted on the Store or at another time separately specified by the Company.
Article 14 (Governing Law and Jurisdiction)
These Terms shall be governed by and construed in accordance with the laws of Japan.
Unless otherwise required by applicable law, any dispute arising out of or relating to the use of the Store or transactions between the Company and customers shall be subject to the agreed jurisdiction of the court having jurisdiction over the location of the Company's principal office.
